EugeneAGoGo.com and its related online activities are a free, public online community for artists, producers, venue managers, and general members of the public that allows users to create member profiles, artist pages, venue pages, upload event information, and create opportunities to engage in the arts both in the community of Eugene, Oregon and in this online environment. Eugene A Go-Go was created by the Arts & Business Alliance of Eugene (ABAE) as a public service and the ABAE encourages all individual and organizational users to actively use EugeneAGoGo.com, share information from and about Eugene A Go-Go with others, participate in all EugeneAGoGo.com online activities, and to make suggestions that will enhance the use of EugeneAGoGo.com. In order to maintain the highest standards for EugeneAGoGo.com, the following Terms of Service have been developed to guide all user conduct.

GENERAL TERMS OF SERVICE

Your use of EugeneAGoGo.com and/or your submission of any information to EugeneAGoGo.com constitutes your agreement to be bound by these Terms without limitation or qualification.

ABAE may modify these Terms from time to time. Modification shall be effective immediately upon being posted. You should read these Terms whenever you visit EugeneAGoGo.com so that you are aware of any modifications. Your use of EugeneAGoGo.com after modifications, whether you’ve read the Terms or not, constitutes your agreement to be bound by these Terms as modified. If you are not willing to be bound by these Terms, do not use EugeneAGoGo.com and do not submit any information to EugeneAGoGo.com.

REGISTRATION DATA 

When creating a user account on EugeneAGoGo.com you agree to provide complete and accurate registration information as prompted and to update this information as required in order to keep it current. You agree to remain solely responsible for all such information, including your choice of username. EugeneAGoGo.com user accounts are intended to be created by individuals who provide real and accurate information about their true identity. Anonymous accounts are not permitted. If you wish to create a user account in order to create a venue page, artist page, and/or to upload event information, you may not create an anonymous account that appears to be a non-person account, such as a venue or organization account. ABAE reserves the right to remove any accounts from EugeneAGoGo.com.

USER CONDUCT

ABAE prohibits the unauthorized use or copying of third-party content as well as the posting of any unlawful or objectionable content by any user of EugeneAGoGo.com. All users must abide by applicable laws and all Terms of Services listed herein.

EugeneAGoGo.com is a user-moderated, online social-media community and event listing service intended to promote arts and culture in Eugene, Oregon. The primary beneficiaries of this service are the artists, arts producers, and arts venues in the Eugene metro area.

You are solely responsible for your conduct while using EugeneAGoGo. Below are some, but not all, of the expectations for your participation in this online community. In understanding these guidelines, you agree NOT to:

1. harass, threaten, belittle, or otherwise distress any other user or entity;
2. transmit information of any type that is considered unlawful, threatening, abusive, vulgar, obscene, or prejudice against any user or entity in regard to race, color, religion, national origin, gender, sexual preference, age or disability; 
3. impersonate any person, including but not limited to an ABEA representative;
4. invade or violate the privacy of any user, including sharing personal information about any individual in a public site area;
5. transmit any materials that contain spam, viruses, or other malicious items;
6. break any local, state or federal laws in conjunction with your use of the site.
7. use this community site for non-arts and culture related promotion, solicitation, or unauthorized advertisement of any kind;

PROPRIETARY RIGHTS

Content created by ABAE on EugeneAGoGo.com, including but not limited to text, software, music, sound, photographs, graphics, video, or other material presented to you by ABAE may be protected by copyrights, trademarks, or other intellectual property rights and laws. You my use this material only as expressly authorized by ABAE, and may not copy, transmit, or create derivative works of such content or information with express written authorization.

ABAE does not claim any ownership rights in the text, files, images, photos, videos, sounds, musical works, works of authorship, or any other materials, collectively considered “content,” that you or other users, post to EugeneAGoGo.com. After posting content to EugeneAGoGo.com, you continue to retain all ownership rights in such content, and you continue to have the right to use your content in any way you choose. By displaying or publishing (“posting”) your content on or through EugeneAGoGo.com, you hereby grant to ABAE a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such content solely on and through EugeneAGoGo.com and related promotional material. 

All trademarks, service marks, company names and logos appearing on EugeneAGoGo.com are the property of their respective owners. No right, title or interest in any EugeneAGoGo.com content or in any trademarks, service marks or company names or logos appearing on EugeneAGoGo.com is transferred to you as a result or your use of EugeneAGoGo.com.

ABAE encourages individuals and organizations to link to EugeneAGoGo.com. By doing so, you agree to abide by all terms contained herein. ABAE encourages individuals and organizations to link to EugeneAGoGo.com and/or its content and to clearly identify Eugene A Go-Go by use of the Eugene A Go-Go logo with a hyperlink and/or a clear indication of the EugeneAGoGo.com URL. Any framed use or other link to EugeneAGoGo.com and/or content that does not clearly provide users access to/knowledge of the EugeneAGoGo.com source is dissuaded.

To provide you with access to related sites, EugeneAGoGo.com contains links to third party websites that are posted on EugeneAGoGo.com and by members of Eugene A Go-Go. Your use of EugeneAGoGo.com is at your own risk. EugeneAGoGo.com and all materials contained on it are distributed and transmitted on an “as is” and “as available” basis. ABAE does not guarantee or warrant that files available for download from EugeneAGoGo.com will be free from infection from viruses, worms, Trojans or other code that manifests contaminating or destructive properties. TERMINATION

Failure to comply with these Terms of Services may result in the termination of your account, with or without notice. This is at the sole discretion of EugeneAGoGo.com and ABAE.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless ABAE and its affiliated entities, its and their respective officers, directors, members, agents, employees, consultants, freelancers, independent contractors, and representatives to the fullest extent permitted by law from and against any and all actions, proceedings, arbitrations or investigations or threats thereof, losses, expenses, damages, costs and expenses (including reasonable fees, disbursements, and other charges of counsel), resulting from any violation by you of these terms.

MODIFICATIONS

ABAE may at any time augment or enhance the current services of EugeneAGoGo.com, with or without notice. This is at the sole discretion of the management of EugeneAGoGo.com and ABAE.

APPLICABLE LAW 

These Terms will be governed by and construed in accordance with the laws of the State of Oregon, without regard to any principles of conflict of law. You agree that any action at law or in equity that arises our of or related to any use of EugeneAGoGo.com will be filed only in the state or federal courts located in Lane County and hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

DMCA COPYRIGHT NOTICE 

ABAE is committed to complying with U.S. copyright laws, such as DMCA and other applicable laws, and requires all of its users to comply with these laws. As part of our response, we may remove or disable access to material residing on EugeneAGoGo.com that is claimed to be infringing, in which case we will make a good-faith attempt to contact the person who submitted the affected material so that they may make a counter notification, also in accordance with the DMCA.
